Terms of Service

These Terms of Service ("Terms") are a binding agreement between DEMS LLC, an Arkansas limited liability company ("DEMS," "we," "us," or "our"), and the organization or individual that accesses or uses the Service ("Customer," "you," or "your"). By accessing or using dems.solutions or any related application, data, or service we provide (collectively, the "Service"), or by signing an order form or accepting an invoice that references these Terms, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "Customer" refers to that organization.


1. Definitions

  • "Service" means the dems.solutions website and all tools, modules, features, data, and functionality we make available through it, together with any related products, deliverables, and professional services we provide (such as custom map design, printer-ready files, physical prints, and consulting), as our offerings may change over time.
  • "Order" means an order form, written quote, subscription agreement, or invoice issued by DEMS that sets out one or more commercial terms of a subscription or other purchase, such as price, billing frequency, modules, deliverables, or permitted usage.
  • "Authorized User" means an individual you permit to access the Service under your subscription.
  • "Reference Data" means service area boundaries, maps, coordinates, agency information, and any other geographic or operational data made available through the Service.
  • "Customer Data" means data you upload, input, or generate through the Service.
  • "Deliverables" means custom materials we create for you under an Order, such as custom-designed maps, printer-ready files, or physical prints.

2. The Service, Subscriptions, and Additional Services

We provide access to the Service on a subscription basis, and we may also provide additional products and professional services, such as custom map design, printer-ready files, and physical prints, on a one-time or project basis. The specific scope of what you are purchasing, including any modules, usage level, seats, term, Deliverables, and fees, is set out in the applicable Order. Where an Order conflicts with these Terms on a commercial matter (price, term, scope), the Order controls. On all other matters, these Terms control.

We may modify, add, or remove features and modules over time. We will not materially reduce the core functionality you are paying for during a paid term without notice.


3. Accounts and Authorized Users

You are responsible for all activity that occurs under your account and your Authorized Users' credentials. You must keep credentials confidential and notify us promptly of any unauthorized use. You are responsible for ensuring your Authorized Users comply with these Terms.


4. Acceptable Use

You agree not to, and not to permit any Authorized User or third party to:

  • copy, scrape, harvest, extract, or systematically download Reference Data except as the Service is intended to be used;
  • resell, sublicense, redistribute, or commercially exploit the Service or Reference Data outside your own business operations without our written consent;
  • reverse engineer, decompile, or attempt to derive the source code or underlying data structures of the Service;
  • use the Service to build or train a competing product or dataset;
  • access the Service through automated means (bots, scrapers) except through any API we expressly provide;
  • interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure; or
  • use the Service in violation of any applicable law or regulation.

We may suspend access immediately if we reasonably believe your use threatens the security, integrity, or availability of the Service.


5. Reference Only

This section is important. Read it carefully.

The Service and all Reference Data are provided for informational and planning purposes only. The Service is a reference and visualization tool. It is not a computer-aided dispatch (CAD) system, is not a 911 or emergency response system, and is not a substitute for any official dispatch authority, protocol, system, agreement, or determination.

You acknowledge and agree that:

  • service area boundaries, agency assignments, and other Reference Data change over time and may be incomplete, outdated, or inaccurate;
  • you and your agency remain solely responsible for verifying the accuracy of any boundary, assignment, or other information before relying on it;
  • you and your agency remain solely responsible for all dispatch, response, and operational decisions, which must be made in accordance with your own official systems, protocols, mutual aid agreements, and applicable law; and
  • nothing in the Service determines, alters, or supersedes any legal service area, jurisdictional boundary, contractual obligation, or dispatch responsibility.

DEMS does not direct, control, or participate in any emergency response and is not responsible for any dispatch decision, response time, or operational outcome.


6. No Warranties

THE SERVICE AND ALL REFERENCE DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, DEMS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY OF ACCURACY, COMPLETENESS, CURRENCY, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

DEMS DOES NOT WARRANT THAT THE REFERENCE DATA IS ACCURATE, CURRENT, OR SUITABLE FOR ANY OPERATIONAL OR EMERGENCY USE.


7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

DEMS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR FOR PERSONAL INJURY, WRONGFUL DEATH, OR PROPERTY DAMAGE ARISING OUT OF OR RELATING TO THE SERVICE OR ANY RELIANCE ON REFERENCE DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

DEMS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO DEMS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND FORM AN ESSENTIAL BASIS OF THE BARGAIN. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.


8. Indemnification

You will defend, indemnify, and hold harmless DEMS and its member, officers, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service or Reference Data; (b) any dispatch, response, or operational decision made by you or your agency; (c) your Customer Data; or (d) your breach of these Terms or violation of applicable law.


9. Intellectual Property

DEMS and its licensors own all right, title, and interest in and to the Service, including all software, design, compilations of data, and Reference Data (excluding underlying public-source data to the extent it is in the public domain). We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription term solely for your internal business operations and in accordance with these Terms. No other rights are granted.

You retain ownership of your Customer Data. You grant DEMS a license to host, process, and use Customer Data as necessary to provide and improve the Service.

Custom Deliverables. Unless your Order states otherwise, upon full payment you may use any Deliverables we create for you (such as custom-designed or printed maps) for your own business operations. We retain ownership of the Service and of our pre-existing materials, tools, templates, and underlying methods used to create Deliverables.


10. Data Accuracy and Customer Responsibility

You acknowledge that you are responsible for confirming the accuracy and currency of any Reference Data before relying on it. Where you provide DEMS with agency-specific reference data or corrections to that reference data, you represent that you have the right to provide it and that it is accurate to the best of your knowledge.


11. Fees, Billing, and Taxes

Fees, billing frequency, and payment terms are set out in your applicable Order or invoice. Unless stated otherwise: invoices are due within thirty (30) days; overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum allowed by law; and fees are exclusive of taxes, which are your responsibility (other than taxes on DEMS's net income). We may suspend the Service for non-payment after reasonable notice.


12. Term and Termination

These Terms apply for as long as you use the Service. Your subscription term is set out in your Order. Either party may terminate for material breach if the breach is not cured within thirty (30) days of written notice. We may suspend or terminate access immediately for violations of Section 4 (Acceptable Use) or non-payment.

On termination, your right to access the Service ends. Sections that by their nature should survive (including Sections 5 through 11, 13, and 14) survive termination.


13. Confidentiality

Each party may receive non-public information of the other ("Confidential Information"). The receiving party will protect it with reasonable care and use it only to perform under these Terms. This does not apply to information that is public, independently developed, or rightfully received from a third party.


14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arkansas, without regard to its conflict-of-laws rules.

Arbitration. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally within thirty (30) days will be resolved by binding arbitration administered by a recognized arbitration provider, seated in Arkansas, on an individual basis. You and DEMS waive any right to a jury trial and to participate in a class, collective, or representative action. Either party may seek injunctive relief in court for misuse of intellectual property or Confidential Information.


15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms with a new "Last updated" date or by notifying you). Your continued use of the Service after changes take effect constitutes acceptance.


16. Miscellaneous

These Terms, together with any applicable Order, are the entire agreement between the parties and supersede prior agreements on the subject. If any provision is held unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision is not a waiver. Neither party is liable for delays or failures caused by events beyond its reasonable control (force majeure).
